Throughout these Terms, "Elite Athletics," "we," "us," and "our" refer to Elite Athletics LLC.

Please read these Terms carefully before accessing our website or purchasing our products.

IMPORTANT NOTICE FOR U.S. CUSTOMERS: THESE TERMS CONTAIN AN INDIVIDUAL BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. PLEASE REVIEW SECTIONS 20–35 CAREFULLY.

Where Elite Athletics presents an affirmative acceptance mechanism, you may be required to actively accept these Terms before completing a transaction.

Nothing in these Terms limits rights that cannot lawfully be waived.

3. ELIGIBILITY

By entering into a transaction with Elite Athletics, you represent that you have the legal capacity required to enter into the transaction under applicable law.

If you are acting on behalf of a company or other organization, you represent that you have authority to bind that organization.

We may restrict or terminate access where reasonably necessary to protect Elite Athletics, our customers, our systems or third parties and where permitted by law.

We make reasonable efforts to accurately describe and display our products.

However, actual appearance may vary slightly because of:

  • Screen settings;

  • Photography;

  • Lighting;

  • Manufacturing tolerances;

  • Material variations;

  • Production improvements; or

  • Other reasonable variations.

We may make reasonable changes to product designs, materials, packaging or specifications.

Such changes will not reduce mandatory rights regarding product conformity or quality.

6. PRODUCT AVAILABILITY

Products may be subject to limited availability.

Adding an item to a shopping cart does not reserve inventory.

We may:

  • Limit quantities;

  • Discontinue products;

  • Restrict products to certain markets; or

  • Cancel orders where inventory is unavailable,

subject to applicable law.

If we cancel a paid order because a product is unavailable, the applicable payment will be refunded.

7. PRICING

Prices may vary based on:

  • Country;

  • Currency;

  • Taxes;

  • Promotions;

  • Discounts;

  • Market;

  • Product;

  • Website configuration.

We may change prices prospectively.

A price change will not ordinarily alter a completed transaction.

If an obvious pricing or technical error occurs, we may correct the error or cancel the affected transaction to the extent permitted by applicable law.

If payment has already been collected for an order we validly cancel, the relevant amount will be refunded.

8. TAXES AND DUTIES

Applicable taxes may be calculated during checkout.

Depending on the destination and shipping method, international shipments may be subject to:

  • Import VAT;

  • Customs duties;

  • Import taxes;

  • Brokerage charges;

  • Customs-processing fees.

Responsibility for these charges will be determined by the terms presented at checkout and applicable law.

Elite Athletics will not characterize taxes or duties as being included where they are not actually included.

9. ORDERS

Submission of an order constitutes an offer to purchase products subject to these Terms.

We may reject or cancel an order where reasonably necessary because of:

  • Payment failure;

  • Suspected fraud;

  • Pricing errors;

  • Inventory errors;

  • Shipping restrictions;

  • Legal restrictions;

  • Technical errors;

  • Incorrect information; or

  • Abuse of promotions.

Where payment has already been collected for a validly cancelled order, the applicable amount will be refunded.

10. PAYMENT

Customers agree to provide accurate and current payment and billing information.

By submitting a payment method, you represent that you are authorized to use it.

Payments may be processed through third-party payment providers.

Elite Athletics generally does not directly store complete payment-card credentials.

11. FRAUD PREVENTION

Orders may be subject to fraud-prevention and security checks.

We may request additional verification before accepting or fulfilling an order where reasonably necessary.

An order may be cancelled where we reasonably determine that it presents a significant fraud or security risk.

12. SHIPPING

Shipping times displayed on the website are estimates unless expressly stated to be guaranteed.

Delivery may be affected by circumstances outside our reasonable control, including:

  • Carrier delays;

  • Customs processing;

  • Weather;

  • Holidays;

  • Incorrect addresses;

  • Government action;

  • Supply-chain disruption;

  • Force-majeure events.

Nothing in this provision removes statutory delivery rights applicable to consumers.

13. DELIVERY INFORMATION

Customers are responsible for providing accurate shipping information.

If an order cannot be delivered because materially incorrect information was provided, additional shipping charges may apply where permitted by law.

Risk of loss and legal title transfer in accordance with applicable law and the shipping terms applicable to the transaction.

14. RETURNS, REFUNDS AND CANCELLATIONS

Returns and refunds are governed by the Return & Refund Policy displayed on our website.

Nothing in that policy or these Terms removes mandatory statutory rights.

Customers in jurisdictions providing mandatory withdrawal, cancellation, conformity, repair, replacement or refund rights retain those rights.

15. PROMOTIONS AND DISCOUNTS

Promotional offers may be subject to additional conditions.

Unless otherwise specified:

  • Discounts cannot necessarily be combined;

  • Promotional codes have no cash value;

  • Promotions may be limited by inventory;

  • Promotions may expire;

  • Certain products may be excluded;

  • Geographic restrictions may apply.

We may cancel transactions involving fraudulent or abusive use of promotional offers where legally permitted.

16. INTELLECTUAL PROPERTY

The website and materials made available through Elite Athletics may contain intellectual property belonging to Elite Athletics or third parties.

Protected materials may include:

  • Trademarks;

  • Logos;

  • Product designs;

  • Photographs;

  • Videos;

  • Illustrations;

  • Graphics;

  • Website designs;

  • Written content;

  • Training content;

  • Advertising materials.

Except where authorized or permitted by law, Users may not reproduce, distribute, commercially exploit, sell, modify or create derivative works from protected content.

17. USER-GENERATED CONTENT

Users may have opportunities to submit:

  • Reviews;

  • Photographs;

  • Videos;

  • Comments;

  • Feedback;

  • Other content.

Users represent that they have the necessary rights to submit such material.

Users may not knowingly submit material that is:

  • Illegal;

  • Defamatory;

  • Infringing;

  • Malicious;

  • Deceptive;

  • An invasion of another person's privacy; or

  • In violation of another person's intellectual-property rights.

Any rights granted to Elite Athletics concerning submitted content will be subject to applicable law and any additional terms presented when the content is submitted.

18. PRODUCT USE AND SPORTS ACTIVITIES

Elite Athletics sells products that may be used during sports, exercise and combat-sports training.

Physical activity inherently involves some risk of injury.

Users are responsible for:

  • Using products for their intended purpose;

  • Following applicable instructions;

  • Selecting appropriate sizing;

  • Inspecting products before use;

  • Discontinuing use of damaged products;

  • Training within their own capabilities.

Elite Athletics does not represent that sporting equipment can eliminate all risk of injury.

Nothing in this section excludes or limits liability that cannot legally be excluded, including applicable product-liability or consumer rights.

19. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY ELITE ATHLETICS OR IMPOSED BY LAW.

WE DO NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE.

WE DO NOT EXCLUDE ANY WARRANTY, GUARANTEE OR STATUTORY RIGHT THAT CANNOT LEGALLY BE EXCLUDED.

20. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ELITE ATHLETICS LLC AND ITS OWNERS, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE WEBSITE, SERVICES OR PRODUCTS.

This may include, where legally permitted:

  • Loss of profits;

  • Loss of revenue;

  • Loss of business opportunity;

  • Loss of data;

  • Business interruption.

To the fullest extent permitted by applicable law, the aggregate liability of Elite Athletics arising from a particular purchase will not exceed the amount actually paid to Elite Athletics for the product or transaction giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law.

21. INDEMNIFICATION

To the extent permitted by applicable law, Users agree to indemnify and hold Elite Athletics LLC harmless from third-party claims resulting directly from:

  • The User's unlawful use of our website;

  • Fraud committed by the User;

  • The User's intentional infringement of third-party rights; or

  • A material breach of these Terms.

This provision does not apply where prohibited by mandatory consumer law.

22. U.S. DISPUTE RESOLUTION

PLEASE READ SECTIONS 22–35 CAREFULLY. THEY AFFECT YOUR LEGAL RIGHTS.

These provisions apply to Users and customers located in the United States to the extent permitted by applicable law.

They contain an agreement to resolve covered disputes through individual binding arbitration rather than a lawsuit before a judge or jury, together with a class action waiver.

23. INFORMAL DISPUTE RESOLUTION

Before initiating arbitration, the party asserting a claim must provide the other party with an individual written Notice of Dispute.

A Notice sent to Elite Athletics should include, where reasonably available:

  • Customer's full name;

  • Email address associated with the purchase;

  • Order number;

  • Description of the dispute;

  • Factual and legal basis of the claim;

  • Relief requested; and

  • Contact information.

Elite Athletics may send a Notice to the email address or other contact information associated with the customer's account or transaction.

The parties will then have 30 days after receipt of a complete Notice to attempt in good faith to resolve the dispute.

Neither party may initiate arbitration until that period has expired, except where applicable law provides otherwise.

24. AGREEMENT TO INDIVIDUAL BINDING ARBITRATION

EXCEPT FOR DISPUTES EXPRESSLY EXCLUDED BELOW, YOU AND ELITE ATHLETICS LLC AGREE THAT COVERED DISPUTES WILL BE RESOLVED THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION RATHER THAN THROUGH COURT LITIGATION.

This applies to disputes, claims or controversies arising out of or relating to:

  • These Terms;

  • Purchases;

  • Attempted purchases;

  • Elite Athletics products;

  • The website;

  • Advertising;

  • Marketing;

  • Promotions;

  • Communications;

  • Returns;

  • Refunds;

  • Privacy or data practices;

  • Transactions with Elite Athletics; or

  • The relationship between the User and Elite Athletics.

This Arbitration Agreement is intended to be interpreted broadly to the extent permitted by law.

25. FEDERAL ARBITRATION ACT

The parties acknowledge that transactions through Elite Athletics may involve interstate commerce.

The parties agree that the Federal Arbitration Act, 9 U.S.C. §§ 1–16 ("FAA"), governs the interpretation and enforcement of this Arbitration Agreement to the extent applicable.

26. ARBITRATION PROVIDER

Arbitration will be administered by the American Arbitration Association ("AAA") under the applicable AAA Consumer Arbitration Rules in effect when arbitration is initiated, as modified by these Terms.

If AAA is unavailable or unwilling to administer a particular dispute, the parties will attempt in good faith to select another nationally recognized arbitration provider.

If they cannot agree, a court of competent jurisdiction may appoint an arbitration provider or arbitrator as permitted by applicable law.

27. ARBITRATOR'S AUTHORITY

Unless otherwise agreed, arbitration will be conducted by one neutral arbitrator.

The arbitrator may award individual relief available under applicable law, including where legally authorized:

  • Compensatory damages;

  • Statutory damages;

  • Attorneys' fees;

  • Costs;

  • Individual injunctive relief;

  • Individual declaratory relief.

The arbitrator will apply applicable substantive law and statutes of limitations.

Where required, the arbitrator will provide a written decision explaining the essential findings and conclusions supporting the award.

28. QUESTIONS OF ARBITRABILITY

Except for questions specifically reserved for courts by applicable law or these Terms, the arbitrator shall have authority, to the fullest extent legally permitted, to determine disputes concerning the:

  • Interpretation;

  • Applicability;

  • Scope;

  • Enforceability; or

  • Validity

of this Arbitration Agreement.

Questions concerning whether an arbitration agreement was formed will be determined in accordance with applicable law.

A court rather than the arbitrator will determine disputes concerning the enforceability of the Class Action Waiver where applicable law requires.

29. INDIVIDUAL ARBITRATION ONLY

ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS.

The User and Elite Athletics agree that each may bring covered claims against the other only in their individual capacity, rather than as a plaintiff, claimant, class member or representative in a purported class or collective proceeding, except where applicable law provides a non-waivable right otherwise.

An individual arbitration will determine only claims involving the individual claimant and Elite Athletics.

30. CLASS ACTION WAIVER

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ELITE ATHLETICS LLC EACH WAIVE THE RIGHT TO HAVE A COVERED DISPUTE PROCEED AS A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION.

To the fullest extent permitted by law, neither party may bring or participate in:

  • A class action;

  • A collective action;

  • A consolidated proceeding involving different claimants;

  • A representative action; or

  • A private-attorney-general proceeding based on rights that may lawfully be waived.

The arbitrator has no authority to combine claims belonging to different individuals or conduct class arbitration unless both parties expressly agree in writing or applicable law requires otherwise.

Nothing in this provision waives a right that applicable law makes non-waivable.

31. CALIFORNIA PUBLIC INJUNCTIVE RELIEF

Nothing in these Terms is intended to waive any right to seek public injunctive relief where such a waiver would be unenforceable under applicable California law.

If a California claimant seeks public injunctive relief and applicable law determines that such relief cannot be required to proceed exclusively through individual arbitration, the claim for that relief will be handled in accordance with applicable law.

To the extent legally permissible, arbitrable individual claims may proceed separately from a claim for public injunctive relief that must be determined by a court.

32. SMALL CLAIMS COURT

Notwithstanding the Arbitration Agreement, either party may pursue an eligible individual claim in small claims court if the claim qualifies and remains within that court's jurisdiction.

If the claim is transferred or removed from small claims court, either party may elect arbitration where permitted by applicable law.

33. GOVERNMENT AUTHORITIES

Nothing in these Terms prevents Users from reporting concerns or filing complaints with appropriate:

  • Federal authorities;

  • State authorities;

  • Local authorities;

  • Consumer-protection agencies;

  • Data-protection authorities;

  • Other regulators.

Nothing limits the lawful authority of a government agency to investigate or pursue enforcement.

34. ARBITRATION FORMAT AND LOCATION

Where permitted under the applicable arbitration rules, arbitration may be conducted:

  • By video conference;

  • By telephone;

  • Through written submissions; or

  • Through an in-person hearing.

An in-person consumer hearing will take place at a reasonably convenient location consistent with the applicable AAA Consumer Arbitration Rules and applicable law.

Elite Athletics will not require a consumer to travel to Wyoming solely for an individual consumer arbitration where doing so would violate applicable law or applicable arbitration rules.

35. ARBITRATION FEES

Arbitration filing, administration and arbitrator fees will be allocated according to the applicable AAA Consumer Arbitration Rules, fee schedule and applicable law.

Elite Athletics will pay arbitration fees that the applicable rules or law require the business to pay.

Elite Athletics will not seek reimbursement of consumer arbitration fees except where expressly permitted by applicable law and the applicable arbitration rules.

Each party will otherwise bear its own attorneys' fees and costs unless applicable law, these Terms, the arbitration rules or an arbitration award provides otherwise.

36. 30-DAY RIGHT TO OPT OUT OF ARBITRATION

YOU HAVE THE RIGHT TO OPT OUT OF THE ARBITRATION AGREEMENT.

A new customer may opt out by providing Elite Athletics with written notice within 30 days after first accepting Terms containing this Arbitration Agreement.

The notice must contain:

  • Full name;

  • Email address associated with the purchase or account;

  • Relevant order number, where applicable; and

  • A clear statement that the User wishes to opt out of the Elite Athletics Arbitration Agreement.

The request must be submitted through the legal/contact channel designated by Elite Athletics for arbitration opt-outs.

Opting out of arbitration will not prevent the customer from purchasing Elite Athletics products.

A valid opt-out affects only the Arbitration Agreement.

The remainder of these Terms continues to apply.

37. ARBITRATION AWARD

An arbitration award will be final and binding subject to any rights of review provided by the Federal Arbitration Act or other applicable law.

Judgment on an award may be entered in any court having jurisdiction.

38. ARBITRATION SEVERABILITY

Except as otherwise required by applicable law, if part of the Arbitration Agreement is determined to be invalid or unenforceable, that portion will be severed and the remainder will continue to apply.

If the Class Action Waiver is finally determined to be unenforceable with respect to a particular claim or remedy, the consequences of that determination will be governed by applicable law.

Nothing in these Terms authorizes class arbitration unless the parties expressly agree to it in writing or applicable law requires otherwise.

39. CHANGES TO ARBITRATION TERMS

If Elite Athletics materially modifies the Arbitration Agreement, we will provide notice where required by applicable law.

Changes will not be applied retroactively where doing so would be prohibited by applicable law.

Where legally required, Users will be asked to affirmatively accept revised arbitration provisions.

40. GOVERNING LAW

To the extent permitted by applicable law, these Terms are governed by the laws applicable to Elite Athletics LLC in Wyoming, United States, without regard to conflict-of-law principles.

The Federal Arbitration Act governs the Arbitration Agreement where applicable.

This choice of law does not deprive consumers of mandatory protections available under laws that cannot contractually be waived.

41. NON-U.S. CONSUMERS

The arbitration provisions above are specifically intended for U.S. customers.

Nothing in these Terms is intended to eliminate mandatory consumer protections applicable to customers elsewhere.

Users located in the:

  • European Union;

  • European Economic Area;

  • United Kingdom; or

  • Other jurisdictions with mandatory consumer-protection laws

retain applicable non-waivable rights.

Where these Terms conflict with mandatory consumer law applicable to a User, that law controls to the extent of the conflict.

Elite Athletics may retain evidence reasonably necessary to establish acceptance, including:

  • Date;

  • Time;

  • Terms version;

  • Order identifier;

  • Customer identifier;

  • Technical records relating to acceptance.

Such information will be handled according to applicable privacy law.

45. ELECTRONIC AGREEMENT

To the extent permitted by applicable law, affirmative electronic acceptance constitutes an electronic agreement and may have the same legal effect as a handwritten signature.

Users are responsible for reviewing the Terms before accepting them.

46. CHANGES TO THESE TERMS

Elite Athletics may update these Terms periodically to reflect:

  • Changes to our business;

  • Product changes;

  • New services;

  • Technology changes;

  • Regulatory requirements;

  • Changes in applicable law.

The updated version will contain a revised "Last Updated" date.

Material changes will be communicated and/or submitted for renewed acceptance where required by law.

47. SEVERABILITY

If a provision of these Terms is determined to be invalid or unenforceable, the provision will be enforced to the maximum extent legally permissible or severed where appropriate.

The remainder of the Terms will continue in effect.

The specific severability provisions concerning arbitration apply to the Arbitration Agreement.

48. NO WAIVER

Failure by Elite Athletics to immediately enforce a provision of these Terms does not necessarily constitute a waiver of that provision or another right.

49. ASSIGNMENT

Elite Athletics may assign these Terms in connection with a merger, acquisition, corporate restructuring, financing, sale of assets or similar business transaction to the extent permitted by applicable law.

Users may not assign contractual rights or obligations where such restriction is legally permissible without our prior consent.

Mandatory consumer rights remain unaffected.
